These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ('you'), and Workium Ltd, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms.
1. Our Services
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.
The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.
2. Intellectual Property Rights
We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the 'Content'), as well as the trademarks, service marks, and logos contained therein (the 'Marks').
Our Content and Marks are protected by copyright and trademark laws and treaties around the world. The Content and Marks are provided in or through the Services 'AS IS' for your personal, non-commercial use only.
3. User Representations
By using the Services, you represent and warrant that:
All registration information you submit will be true, accurate, current, and complete
You will maintain the accuracy of such information and promptly update such registration information as necessary
You have the legal capacity and you agree to comply with these Legal Terms
You are not a minor in the jurisdiction in which you reside
You will not access the Services through automated or non-human means
You will not use the Services for any illegal or unauthorised purpose
Your use of the Services will not violate any applicable law or regulation
4. User Registration
You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
5. Purchases and Payment

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed.
We reserve the right to refuse any order placed through the Services. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order.
6. Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:
Systematically retrieve data from the Services to create a database without written permission
Trick, defraud, or mislead us and other users
Circumvent or disable security-related features of the Services
Disparage, tarnish, or otherwise harm us and/or the Services
Use any information obtained from the Services to harass or harm another person
Make improper use of our support services or submit false reports of abuse
Use the Services in a manner inconsistent with any applicable laws or regulations
Engage in any automated use of the system
Upload or transmit viruses, Trojan horses, or other harmful material
Attempt to impersonate another user or person
7. Privacy Policy
We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. Please be advised the Services are hosted in the United Kingdom.
8. Term and Termination
These Legal Terms shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON FOR ANY REASON.
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party.
9. Governing Law
These Legal Terms are governed by and interpreted following the laws of the United Kingdom. Workium Ltd and yourself both agree to submit to the non-exclusive jurisdiction of the courts of London, which means that you may make a claim to defend your consumer protection rights in regards to these Legal Terms in the United Kingdom.
10. Disclaimer
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF.
11. Limitations of Liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

Workium for Business — Additional Terms
The following terms apply specifically to customers of Workium for Business (Global Mobility, Company Formation and Alumni Job Placement workspaces) in addition to the general Terms above. Customers must accept these inside the product before they can access their workspace.

1. Acceptance of these Terms
These Terms of Use (the “Business Terms”) are a binding legal agreement between you, the company you represent (“Customer”, “you”) and Workium Ltd, a company incorporated in England & Wales (registered number 14734379) with registered office at International House, 36-38 Cornhill, London, EC3V 3NG (“Workium”, “we”, “us”).
By clicking “I Accept” or by creating, accessing or using a Workium for Business workspace you confirm that (a) you are at least 18 years old, (b) you have authority to bind the Customer to these Business Terms, and (c) you have read and agree to these Business Terms together with our general Terms and Conditions and Privacy Policy.
If you do not agree, you must not use the Services and you should click “I Decline”.
2. Definitions
Services — the Workium for Business platform and any modules you have enabled (Global Mobility, Company Formation, Alumni Job Placement) plus any related professional, advisory or facilitation services delivered through the platform.
Workspace — the dedicated tenant created for the Customer when its first user signs up.
Authorised User — a person whose email has been added to the Workspace by the Customer (e.g. employees, contractors).
Customer Data — all data, files, documents, and content uploaded to or generated through the Services by Customer or Authorised Users (including data about the Customer's employees, candidates, alumni or applicants).
Subscription Fee — the recurring fee payable for access to a service module.
Professional Fees — one-off or per-case fees for facilitated services such as visa applications, company formations, or alumni placements.
3. Account Eligibility & Registration
The Workium for Business platform is intended for legitimate businesses and registered organisations.
You must register using a corporate email address. Personal email domains (Gmail, Yahoo, Outlook.com, iCloud, Proton, etc.) are not accepted, except for Company Formation customers who do not yet have a registered company email.
You must provide accurate and complete information during signup and keep it up to date.
You are responsible for safeguarding the credentials of your account and of every Authorised User you invite. Workium is not liable for losses arising from credentials being shared, leaked or compromised.
Workium reserves the right to verify business identity (Companies House, KYB checks) and to refuse or terminate access where eligibility cannot be confirmed.
4. Access Levels & Authorised Users
The Customer designates an Owner at signup, who has full administrative control of the Workspace. Owners may invite additional users at three access levels: Owner, Admin or Member. Each level's permissions are described inside the product. The Customer is responsible for managing access to its Workspace, including:
Promptly revoking access of any user who leaves the organisation or no longer requires it.
Ensuring every Authorised User agrees to and complies with these Business Terms.
All acts and omissions of Authorised Users are deemed to be acts and omissions of the Customer.
5. Description of Services
Workium for Business is offered as three single-service workspaces. Customers can subscribe to one or more:
Global Mobility — sponsor licence applications, Certificate of Sponsorship workflows, visa eligibility assessments, salary-threshold checks, renewal scheduling and document compliance for cross-border employment.
Company Formation — incorporation of LTD/PLC/LLP entities, KYC, registered office, bank-account introductions and ongoing compliance add-ons.
Alumni Job Placement — caseworker-driven evaluation, CV preparation, employer matching and placement of tech graduates into UK Skilled Worker or Germany EU Blue Card roles.
Workium is a technology platform and facilitator. We are not a law firm, accountancy firm, immigration adviser, recruitment agency or financial institution. Where regulated advice is required, we will introduce you to appropriately licensed third-party professionals. The terms of any engagement with such professionals are between you and them.
6. Fees, Payment & Refunds
Subscription Fees and Professional Fees are quoted in EUR or GBP and are exclusive of any applicable taxes (VAT, sales tax, withholding tax) which the Customer must pay in addition.
Payments may be processed via Stripe (no surcharge) or Paystack (a 4% processing surcharge is added at checkout to cover NGN settlement and FX). Payment-method choice is at the Customer's discretion.
Subscriptions auto-renew at the end of each billing cycle unless cancelled at least 7 days before renewal via Account Settings or by writing to billing@workium.co.uk.
One-off Professional Fees (e.g. placement fees) are non-refundable once the underlying milestone (e.g. an offer letter has been issued, a visa has been lodged, a company has been incorporated) has been reached. Pre-milestone refunds are at Workium's discretion and may be net of unrecoverable third-party costs.
Late payment may result in suspension of access. Workium may charge interest at 4% above the Bank of England base rate on overdue invoices.
7. Acceptable Use
The Customer and its Authorised Users will NOT:
Upload data the Customer is not lawfully entitled to share with Workium, including data the Customer's candidates, employees or alumni have not consented to.
Submit fraudulent, materially misleading or fabricated information for visa, sponsor licence, KYC, company formation or placement workflows.
Use the Services to harass, defame, threaten or discriminate against any individual.
Reverse-engineer, scrape, decompile or attempt to derive source code from the Services.
Use the Services to compete directly with Workium, build a competing product, or resell the Services without our prior written consent.
Use automated agents (bots, scripts) to interact with the Services in a way that imposes a disproportionate load on our infrastructure.
Bypass or attempt to bypass technical access-control mechanisms, rate-limits or service-entitlement gating.
Breach of this clause may result in immediate suspension and / or termination without refund.
8. Data Protection & Privacy
Workium acts as a processor of Customer Data; the Customer is the controller. Each party will comply with applicable data protection legislation including the UK GDPR, EU GDPR and the Data Protection Act 2018.
The Customer warrants that it has a lawful basis (e.g. consent, contract, legitimate interest) to share Customer Data with Workium and to process it for the purposes of using the Services.
Workium will only process Customer Data on the Customer's documented instructions, will keep it confidential, and will return or delete it on request after the Services end (subject to legal retention obligations of up to 7 years for tax, anti-money-laundering and immigration audit purposes).
Workium uses appropriate technical and organisational measures (encryption in transit, access controls, segregated tenants) to protect Customer Data.
Workium may transfer Customer Data to sub-processors (such as cloud hosting, payment, identity verification, and email delivery providers). A current list is available on request and is materially equivalent to that disclosed in our Privacy Policy.
The Customer will inform its data subjects (employees, candidates, alumni) of the processing and where required obtain their consent.
Workium will notify the Customer without undue delay (and within 72 hours where feasible) of any Personal Data Breach affecting Customer Data.
9. Confidentiality
Each party agrees to keep the other's Confidential Information confidential and to use it only for the purposes of performing or receiving the Services. This obligation survives termination for 5 years (or indefinitely for personal data and trade secrets). Confidential Information excludes information that is publicly available, independently developed, or required to be disclosed by law.
10. Intellectual Property
Workium owns all intellectual property in the Services, including the platform, source code, trademarks, designs, AI prompts and case-pipeline templates. The Customer is granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for its internal business purposes during the subscription term.
The Customer retains all rights in Customer Data. The Customer grants Workium a limited licence to host, copy, transmit and display Customer Data only as necessary to deliver the Services.
Aggregated, fully anonymised statistics derived from Customer Data may be used by Workium to improve the Services. No personally identifiable, candidate-specific or trade-secret information will be used for this purpose.
11. Service Availability
Workium targets a monthly uptime of 99.5% calculated outside of scheduled maintenance windows. We do not guarantee that the Services will be uninterrupted, error-free, or secure beyond the standards of the wider commercial SaaS industry. Critical incidents are announced via email and an in-product banner.
12. Customer Responsibilities
Provide accurate, complete and up-to-date information for every workflow (visa applications, formations, placements). Workium is not responsible for outcomes that result from inaccurate Customer-supplied data.
Respond to caseworker requests, document checklists and government/employer queries in a timely manner. Delays caused by the Customer may incur additional fees.
Maintain and properly use the access controls available in the Workspace (Owner / Admin / Member roles, password rotation, prompt revocation of departed staff).
13. Suspension & Termination
Either party may terminate the Services at the end of any billing cycle on 30 days' written notice.
Workium may suspend or terminate immediately on notice if the Customer materially breaches these Business Terms (including non-payment after 14 days' reminder, breach of clause 7 Acceptable Use, or insolvency events) and the breach has not been cured within 7 days where capable of cure.
On termination, the Customer's right to access the Services ends, but the Customer may export Customer Data for up to 30 days after the termination date by writing to support@workium.co.uk.
Clauses that by their nature should survive termination (e.g. confidentiality, fees due, liability, indemnities, governing law) will survive.
14. Limitation of Liability
SUBJECT TO THE FOLLOWING, AND EXCEPT FOR LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER ENGLISH LAW (DEATH, PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR FRAUDULENT MISREPRESENTATION):
Neither party will be liable for any indirect, special, incidental, consequential or punitive damages, lost profits, lost revenue, lost data or business interruption.
Each party's total aggregate liability arising out of or in connection with these Business Terms in any 12-month period is capped at the total fees paid by the Customer to Workium in that period.
Workium is not liable for the outcome of any visa, sponsor-licence, formation, employment, or hiring decision taken by a third party (UK Home Office, UKVI, Companies House, German Foreigners' Office, employer, regulator, etc.). Such decisions remain at the sole discretion of those bodies.
15. Indemnification
The Customer will defend, indemnify and hold harmless Workium and its directors, employees and contractors from any third-party claim, loss or damage (including reasonable legal fees) arising out of (a) the Customer's breach of clause 7 Acceptable Use or clause 8 Data Protection, (b) the Customer's submission of inaccurate or fraudulent information to government or third-party bodies via the Services, or (c) any Authorised User exceeding their access level or sharing credentials.
16. Changes to these Business Terms
We may update these Business Terms from time to time. Material changes will be notified to the Customer's Owner email at least 14 days before they take effect, and we will require the Customer to re-accept the new version on their next sign-in. Continued use of the Services after a new version takes effect constitutes acceptance.
17. Governing Law & Disputes
These Business Terms, and any dispute or claim arising out of or in connection with them, their subject matter or formation, are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales, save that Workium may bring proceedings to enforce its intellectual property rights in any jurisdiction.
Before commencing court proceedings, the parties will use reasonable endeavours to resolve any dispute through good-faith discussion within 30 days of written notice.
18. General
Entire agreement. These Business Terms (together with the documents they reference) constitute the entire agreement between the parties for the Services and supersede any prior agreements.
Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
Assignment. The Customer may not assign these Business Terms without our consent. Workium may assign to a successor in connection with a merger, sale or reorganisation.
No partnership. Nothing in these Business Terms creates a partnership, joint venture or agency relationship.
Notices. Notices to Workium must be sent to legal@workium.co.uk; notices to the Customer will be sent to the Owner email on file.
